Description

Interim Management

Interim Management is the leadership process of developing a plan and executing its implementation from the current position to an improved status for the benefit of an enterprise and its stakeholders. Ideally this process takes place proactively as the stakeholders and/or outside parties encourage the enterprise through the Board and Senior Management to take the steps necessary to position the company for long-term profitable growth. In deteriorating circumstances transitions may be forced to occur, particularly in distressed situations.

For stakeholders with a long-term perspective, the services of an interim manager may be sought for effective planning, recommendations, and guidance. These are the most advantageous scenarios for the enterprise, since enough time and thought can be utilized for a well developed and orderly transition.

Family owned businesses that recognize the need early for generational transfer planning are ideal for interim management services, in cooperation with legal and financial advisers who are concentrating on estate, tax, gift and other aspects of the transfer. The interim manager fills the unique role of dealing with the financial, operational, and organizational needs of the business, while understanding the dynamics of the family generational transfer.

In other situations, especially those that are driven by financial need, lender pressure, prior management concerns, and manufacturing or operating issues, an interim manager may be engaged. This engagement can be to review the situation, propose solutions and implement changes, often in a short-term high impact scenario. In more distressed situations, this engagement can take the form of placing the interim manager in a senior management role, such as CEO, CFO, or VP-Operations, to actually lead the change from within the company. Outside firms such as replacement lenders and private equity firms can be brought in to provide recapitalizations for ownership transfer and long-term growth.
